Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and 2ok ("we," "our," or "us") governing your access to and use of the 2ok platform, including our website, mobile applications, and related services (collectively, the "Service").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

Important: These Terms contain an arbitration clause and class action waiver (Section 13). Please read them carefully as they affect your legal rights.

2. Description of Service

2ok is a marketplace platform that connects families ("Clients") with childcare and service providers ("Providers"). We provide technology to facilitate these connections but do not provide childcare or other services directly.

What We Do

  • Provide a platform for Providers to list their services and availability
  • Enable Clients to search for, communicate with, and book Providers
  • Facilitate secure payment processing between Clients and Providers
  • Offer tools for scheduling, messaging, and managing bookings

What We Don't Do

  • Employ, supervise, or control Providers
  • Guarantee the quality, safety, or legality of services provided
  • Verify all information provided by users (though we may offer optional verification services)
  • Mediate or resolve disputes between Clients and Providers

Providers are independent contractors, not employees of 2ok. The relationship between Clients and Providers is directly between those parties.

3. User Accounts

Account Creation

To use most features of the Service, you must create an account. When creating an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security and confidentiality of your login credentials
  • Be at least 18 years of age
  • Accept responsibility for all activities that occur under your account

Account Security

You are responsible for safeguarding your account credentials. You agree to notify us immediately of any unauthorized use of your account. We are not liable for any loss arising from unauthorized use of your account.

Account Types

You may register as a Client, Provider, or both. Each account type has specific terms that apply (see Sections 4 and 5).

4. Provider Terms

If you register as a Provider, the following additional terms apply:

Eligibility

  • You must be legally authorized to work in your jurisdiction
  • You must have any licenses or certifications required by applicable law
  • You must accurately represent your qualifications, experience, and services
  • You agree to comply with all applicable laws and regulations

Independent Contractor Status

You acknowledge that you are an independent contractor and not an employee, agent, or representative of 2ok. You are solely responsible for:

  • Determining how to provide your services
  • Paying your own taxes and obtaining appropriate insurance
  • Complying with employment and labor laws
  • Maintaining any required licenses or certifications

Service Quality

You agree to provide services professionally, safely, and in accordance with your profile descriptions. You will communicate honestly with Clients about your availability, experience, and any limitations.

Background Checks

We may offer optional background check services. Participation is voluntary unless required by law in your jurisdiction. You authorize us to conduct or facilitate background checks if you opt in.

5. Client Terms

If you register as a Client, the following additional terms apply:

Your Responsibilities

  • Provide accurate information about your care needs and requirements
  • Ensure a safe environment for Providers to perform services
  • Communicate clearly about expectations, schedules, and any special needs
  • Pay for services as agreed upon booking
  • Provide reasonable notice for cancellations

Selecting Providers

You are solely responsible for selecting Providers. We encourage you to:

  • Review Provider profiles, ratings, and reviews carefully
  • Communicate with Providers before booking to ensure a good fit
  • Verify any credentials that are important to you
  • Consider requesting a background check if available

Supervision

You are responsible for providing appropriate supervision and instructions to Providers, especially when children are involved.

6. Payment Terms

Platform Fee

2ok charges a platform fee of 5% of each booking to Providers (or 2% for Pro subscribers). This fee is deducted from the Provider's earnings before payout. Clients pay the agreed booking amount with no additional platform fee.

Payment Processing

All payments are processed securely through Stripe. By using the Service, you agree to Stripe's terms of service and authorize us to initiate payments on your behalf.

Provider Payouts

Providers receive payouts after the completion of services, minus the platform fee. Payout timing depends on your Stripe account settings, typically within 2-7 business days.

Taxes

Providers are responsible for reporting and paying all applicable taxes on their earnings. 2ok will provide tax documentation (such as 1099 forms in the US) as required by law.

Disputes

Payment disputes between Clients and Providers should be resolved directly between the parties. 2ok may, at its discretion, assist in resolving disputes but is not obligated to do so.

7. Cancellation and Refunds

Client Cancellations

  • More than 24 hours before: Full refund
  • 12-24 hours before: 50% refund
  • Less than 12 hours before: No refund (full payment to Provider)

Provider Cancellations

Providers should honor their bookings. If a Provider must cancel:

  • Notify the Client as soon as possible through the platform
  • Repeated cancellations may result in account restrictions or termination
  • Clients receive a full refund for Provider cancellations

No-Shows

If a Provider does not show up for a confirmed booking, the Client is entitled to a full refund and should report the incident to us.

Refund Processing

Refunds are processed to the original payment method within 5-10 business days, depending on your financial institution.

8. User Content

"User Content" includes profiles, photos, reviews, messages, and any other content you submit to the Service.

Your Rights

You retain ownership of your User Content. By submitting User Content, you grant 2ok a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display your User Content for the purpose of operating and improving the Service.

Content Standards

You agree that your User Content will not:

  • Be false, misleading, or deceptive
  • Infringe on any third party's rights
  • Contain illegal, harmful, or offensive material
  • Include personal contact information intended to circumvent the platform
  • Contain spam, advertising, or promotional content

Reviews

Reviews should be honest, accurate, and based on actual experiences. We may remove reviews that violate our guidelines or these Terms.

9. Prohibited Conduct

You agree not to:

  • Use the Service for any illegal purpose
  • Circumvent the platform to avoid fees (e.g., arranging off-platform payments)
  • Create multiple accounts or impersonate another person
  • Harass, threaten, or discriminate against other users
  • Post false or misleading information
  • Interfere with or disrupt the Service or its security features
  • Scrape, harvest, or collect data from the Service without permission
  • Use automated systems (bots) to access the Service
  • Attempt to gain unauthorized access to any part of the Service
  • Recruit Providers or Clients for competing services

Violation of these rules may result in immediate termination of your account.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

We disclaim all warranties, including but not limited to:

  • Warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Warranties that the Service will be uninterrupted, secure, or error-free
  • Warranties regarding the accuracy of information provided by users
  • Warranties regarding the quality, safety, or legality of services provided by Providers

2ok is a platform connecting Clients and Providers. We do not endorse, guarantee, or assume responsibility for any services provided by Providers or any transactions between users.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, 2OK AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Any loss of profits, data, use, goodwill, or other intangible losses
  • Any damages arising from your use of or inability to use the Service
  • Any conduct or content of any third party on the Service
  • Any actions or omissions of Providers or Clients

Our total liability to you for all claims arising from or related to these Terms or the Service shall not exceed the greater of (a) the amount you paid to 2ok in the 12 months preceding the claim, or (b) $100.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless 2ok and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Service
  • Your User Content
  • Your violation of these Terms
  • Your violation of any rights of another person or entity
  • Services you provide or receive through the platform

13. Dispute Resolution

Informal Resolution

Before filing a claim, you agree to try to resolve the dispute informally by contacting us at legal@2ok.app. We will attempt to resolve the dispute within 60 days.

Arbitration Agreement

If we cannot resolve a dispute informally, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify.

Arbitration shall be conducted by JAMS under its Streamlined Arbitration Rules, in the county where you reside or another mutually agreed location. The arbitrator's decision shall be binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

Opt-Out

You may opt out of this arbitration agreement by sending written notice to legal@2ok.app within 30 days of first accepting these Terms. If you opt out, you may pursue claims in court.

Governing Law

These Terms shall be governed by the laws of the State of Delaware, without regard to its conflict of law provisions.

14. Termination

Termination by You

You may terminate your account at any time by contacting us or using the account deletion feature in your settings. Termination does not relieve you of any obligations incurred before termination.

Termination by Us

We may suspend or terminate your account at any time, with or without cause, with or without notice. Reasons for termination may include:

  • Violation of these Terms
  • Fraudulent or illegal activity
  • Conduct harmful to other users or the platform
  • Extended period of inactivity
  • Request from law enforcement

Effect of Termination

Upon termination, your right to use the Service will immediately cease. Sections of these Terms that by their nature should survive termination shall survive (including Sections 10-13).

15. Changes to Terms

We may modify these Terms at any time. When we make material changes, we will:

  • Update the "Last Updated" date at the top of these Terms
  • Notify you via email or through the Service at least 30 days before the changes take effect
  • Give you the opportunity to review the changes before they become effective

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service.
